Terms & Conditions

1. General

These Terms and Conditions apply to all goods and services supplied by ToolWare Sales Limited ("ToolWare", "we", "our") to the customer ("you", "your").
By placing an order with ToolWare, you agree to be bound by these Terms and Conditions.

ToolWare supplies goods on a business-to-business (B2B) basis only and reserves the right, at its sole discretion, to approve or decline any account application or order.

2. Pricing

All prices are stated in New Zealand Dollars (NZD) and are exclusive of GST, unless otherwise specified. Prices are subject to change without notice. ToolWare reserves the right to correct any pricing errors prior to order acceptance.

3. Orders

All orders are subject to acceptance by ToolWare. An order is not deemed accepted until it has been processed and dispatched. ToolWare reserves the right to cancel, refuse, or amend any order prior to dispatch.

4. Payment Terms

Unless otherwise agreed in writing:

    • Payment is due by the 20th of the month following the invoice date.

If payment is not received by the due date, ToolWare may:

    • Suspend or cease further supply of goods or services.
    • Charge interest on overdue amounts at 2% per month, calculated daily.
    • Recover all costs incurred in collecting the debt, including legal and recovery fees.

5. Retention of Title

Ownership of all goods supplied remains with ToolWare until full payment has been received for:

    • The goods supplied; and
    • Any other amounts owing by the customer to ToolWare.

ToolWare reserves the right, where legally permitted, to repossess unpaid goods and enter the customer’s premises for that purpose.

6. Risk and Insurance

Risk in the goods passes to the customer upon delivery. Unless otherwise agreed in writing, goods are supplied uninsured, and the customer is responsible for arranging appropriate insurance.

7. Limitation of Liability

To the maximum extent permitted by New Zealand law:

    • ToolWare shall not be liable for any indirect, incidental, or consequential loss;
    • ToolWare’s total liability is limited to the value of the goods supplied.

Nothing in these Terms limits any rights or remedies available under the Consumer Guarantees Act 1993, where applicable.

8. Product Information

While ToolWare takes reasonable care to ensure product information is accurate, we do not warrant that product descriptions, specifications, or availability are error-free.

9. Intellectual Property

All website content, including images, product descriptions, logos, and branding, is the property of ToolWare and must not be reproduced, distributed, or used without prior written consent.

10. Governing Law

These Terms and Conditions are governed by the laws of New Zealand, and the parties submit to the exclusive jurisdiction of the New Zealand courts.
